1. Acceptance of Terms

By accessing, registering for, or using the TriLink B2B Procurement Platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, Cookie Policy, and Data Processing Agreement, all incorporated by reference. If you do not accept these Terms in full, you must not use the Platform.

These Terms constitute a legally binding agreement between you, the registered company you represent ("User" or "you"), and TriLink Technologies LLC ("TriLink", "we", "us", or "our"), a company registered in the United Arab Emirates. You represent and warrant that you have the legal authority to bind your company to these Terms.

2. Definitions

For the purposes of these Terms:

  • "Buyer" means a User that issues purchase requisitions, requests quotations, awards contracts, or procures goods and services through the Platform.
  • "Supplier" means a User that lists products or services, submits bids, receives purchase orders, or delivers goods and services through the Platform.
  • "Service Provider" means a User offering non-goods services such as logistics, customs clearance, inspection, financing, or consulting.
  • "Order" means a purchase order, work order, contract, or other transaction created and accepted through the Platform.
  • "Escrow" means funds held by a licensed banking partner until predefined contractual conditions are met.
  • "UAE Pass" means the UAE government digital identity and signature service.
  • "Personal Data" has the meaning given under UAE Federal Decree-Law No. 45 of 2021 (PDPL).

3. Platform Scope & Ecosystem

TriLink is a multi-sided B2B commerce and procurement ecosystem designed to digitalise trade workflows between Buyers, Suppliers, Service Providers, and Logistics Providers in the UAE and wider region. The Platform facilitates, but is not limited to:

  • Discovery, cataloguing, and procurement of goods and services via a centralised marketplace;
  • Request-for-quotation (RFQ), request-for-proposal (RFP), and tender workflows with bid evaluation;
  • Contract negotiation, drafting, execution, and lifecycle management;
  • Electronic signatures and UAE Pass authenticated approvals;
  • Payment processing, escrow, instalment plans (BNPL), wire transfers, cheque tracking, and trade finance instruments such as bank guarantees and letters of credit;
  • Shipment tracking, logistics coordination, customs clearance support, and warehousing introductions;
  • AI-powered document parsing, optical character recognition (OCR), procurement copilot assistance, and automated compliance checks;
  • Beneficial ownership screening, sanctions checking, anti-money laundering (AML) monitoring, and ESG scoring;
  • Third-party integrations, APIs, and webhooks for ERP, accounting, and warehouse management systems.

TriLink acts as a technology intermediary and, unless explicitly stated otherwise, is not a party to the underlying sale, purchase, logistics, or financing contract between Users. We do not guarantee the quality, safety, legality, or fitness of any product or service listed by Suppliers.

4. Eligibility & Account Registration

To register and use the Platform, you must:

  • Be a legally registered business entity, branch, or government body in a jurisdiction where use of the Platform is lawful;
  • Hold a valid trade licence or equivalent registration (mandatory under UAE Federal Decree-Law No. 50 of 2022 on Commercial Transactions, where applicable);
  • Provide accurate, complete, and current registration information, including authorised signatory details and beneficial ownership;
  • Maintain the confidentiality and security of your account credentials and promptly notify TriLink of any unauthorised use;
  • Be duly authorised to bind your company to these Terms and to enter into transactions on its behalf.

We reserve the right to suspend or terminate any account that does not meet these eligibility requirements or that provides false, misleading, or incomplete information.

5. Company Verification & Tiers

TriLink operates a tiered verification system. Higher tiers unlock additional features and higher transaction limits. To advance tiers, a company must submit documentary evidence which may include:

  • Valid commercial trade licence and establishment card;
  • Tax registration certificate (TRN) and VAT certificate where applicable;
  • Bank account verification and IBAN confirmation;
  • Beneficial ownership declaration and identity documents for ultimate beneficial owners (UBOs);
  • Certifications, quality accreditations, ESG credentials, or industry-specific licences as relevant.

Verification decisions are made in TriLink's sole discretion and may be reviewed or revoked at any time. Verification status does not constitute a guarantee of a User's creditworthiness, performance, or compliance.

6. User Accounts & Security

You are responsible for all activity that occurs under your account. You must:

  • Use strong, unique passwords and enable multi-factor authentication where available;
  • Keep API keys, webhooks secrets, and integration tokens confidential;
  • Immediately report suspected unauthorised access, security incidents, or credential compromise;
  • Ensure that employees, agents, or representatives accessing the Platform on your behalf comply with these Terms.

TriLink may suspend account access without liability if we believe an account has been compromised or is being used in violation of these Terms or applicable law.

7. Marketplace, Catalog & Listings

Suppliers and Service Providers may publish product and service listings, catalogues, pricing, and availability information. By listing on the Platform, you represent that:

  • All listing information is accurate, not misleading, and does not infringe third-party intellectual property rights;
  • You have the right and capacity to sell, license, or deliver the listed items;
  • Prices are stated clearly, including whether VAT and other taxes are included or excluded;
  • Inventory, lead-time, and service-level information is kept current.

TriLink reserves the right to remove or restrict listings that violate these Terms, applicable laws, or our content policies. The Platform may display ratings, reviews, and ESG indicators based on data submitted by Users and third-party sources.

8. Procurement Workflow (RFQ, Bids & Awards)

Buyers may issue requests for quotations, proposals, or tenders. Suppliers may submit bids, proposals, or catalog responses. All submissions are binding once accepted by the Buyer through the Platform. You agree that:

  • RFQs and bids must be complete, accurate, and not contain hidden conditions;
  • Once a bid is accepted, the Supplier is obligated to fulfil the resulting order under the stated terms unless both parties agree to a written amendment through the Platform;
  • Buyers must evaluate bids fairly and in accordance with disclosed evaluation criteria;
  • Collusion, bid rigging, price fixing, market allocation, or any other anti-competitive conduct is strictly prohibited and may be reported to the UAE Competition Regulation Committee under Federal Decree-Law No. 36 of 2023.

9. Contract Formation & Digital Signatures

Contracts, purchase orders, amendments, and addenda executed through the Platform are legally binding between the parties. Digital signatures applied via the Platform comply with UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services and may include simple, advanced, or qualified signature grades supported by UAE Pass or other certified trust service providers.

By applying your signature or approving a document, you confirm that you have reviewed the document, understand its contents, and are authorised to execute it on behalf of your company. You are solely responsible for verifying the identity and authority of counterparties before entering into binding agreements.

10. Payments, Escrow & Trade Finance

The Platform supports multiple payment and financing methods, including card payments, bank transfers (wires), cheque tracking and confirmation, buy-now-pay-later (BNPL) arrangements with licensed partners, escrow services with licensed banking partners, bank guarantees, and letters of credit. By using these services you agree that:

  • All fees, commissions, and applicable taxes (including UAE VAT at the prevailing rate under Federal Decree-Law No. 8 of 2017) will be disclosed before you confirm a transaction;
  • Escrow funds are held by an independent licensed banking partner under escrow terms agreed between the parties and the partner;
  • TriLink is not a bank, lender, insurer, or guarantor, and does not hold funds on its own balance sheet except as a disclosed collection agent where authorised;
  • You are responsible for ensuring that all payment instructions, beneficiary details, and trade-finance documents are accurate;
  • Chargebacks, reversals, or payment disputes must be raised through the Platform dispute process.

Payment processing partners are subject to their own terms and privacy policies, which you must accept where required.

11. Logistics, Shipping & Customs

The Platform enables Buyers and Suppliers to arrange shipment tracking, select logistics providers, and coordinate customs clearance support. TriLink does not itself transport goods or act as a customs broker unless expressly agreed in a separate contract. Logistics Service Providers are independent contractors and remain responsible for the services they perform.

Users must ensure that all shipments comply with import/export controls, customs declarations, dangerous-goods regulations, and sanctions applicable to the jurisdictions involved.

12. Artificial Intelligence, OCR & Automation

TriLink uses artificial intelligence, machine learning, and optical character recognition to assist with document parsing, spend analysis, vendor matching, risk scoring, drafting suggestions, and procurement insights (collectively "AI Features").

  • AI Features are provided as assistive tools only. You must review and validate all AI-generated outputs before relying on them for procurement, legal, financial, or compliance decisions.
  • AI Features may process document content you upload. You warrant that you have the right to upload such content and that doing so does not breach confidentiality or data-protection obligations owed to third parties.
  • TriLink does not guarantee that AI outputs are error-free, complete, or suitable for any particular purpose. We are not liable for decisions made in reliance on AI-generated suggestions.
  • You must not use AI Features to generate unlawful, deceptive, infringing, or harmful content.

13. Compliance, AML & Sanctions

You must use the Platform in compliance with all applicable laws, regulations, and industry standards, including UAE federal laws, emirate-level regulations, and international trade rules. Specifically, you must not:

  • Use the Platform for money laundering, terrorist financing, fraud, or other illicit financial activity;
  • Transact with sanctioned persons, entities, or jurisdictions, or otherwise circumvent export controls or sanctions;
  • Submit forged, altered, or misleading documents, licences, or certifications;
  • Engage in bribery, corruption, or prohibited anti-competitive practices.

TriLink may perform automated and manual screening against sanctions, politically exposed persons (PEP), and adverse media lists. We may freeze, suspend, or report transactions or accounts where required by law or where a material compliance risk is identified.

14. Beneficial Ownership & KYC

In accordance with UAE anti-money laundering and counter-terrorist financing laws (Federal Decree-Law No. 20 of 2018 and Cabinet Decision No. 10 of 2019), Users must provide accurate beneficial ownership information. You agree to:

  • Disclose all ultimate beneficial owners who own or control, directly or indirectly, 25% or more of the company, or who otherwise exercise control;
  • Promptly update beneficial ownership data upon any change;
  • Provide identity documents and any additional information reasonably requested for verification;
  • Consent to TriLink retaining and sharing this information with regulators, financial institutions, and screening service providers as required by law.

15. ESG & Sustainability

The Platform may display environmental, social, and governance (ESG) indicators, certifications, carbon estimates, and sustainability disclosures supplied by Users or third-party rating providers. These indicators are for informational purposes only. TriLink does not independently audit all ESG claims and is not responsible for their accuracy. Users are encouraged to verify ESG credentials directly before making procurement decisions.

16. Dispute Resolution Between Users

If a dispute arises between Users in connection with a transaction, the parties should first attempt to resolve the matter through the Platform's negotiation and mediation tools. Where a dispute cannot be resolved amicably, the parties may escalate to formal dispute resolution in accordance with Section 23 below.

TriLink may, at its discretion, provide dispute resolution assistance, release escrow funds in accordance with agreed conditions or a final determination, and suspend accounts involved in repeated or serious disputes. TriLink is not a court or arbitrator and its determinations are not binding unless the parties have agreed otherwise in writing.

17. Messaging, Notifications & Communications

The Platform includes negotiation chat, contract amendment threads, dispute messaging, and system notifications. By using these features you agree that:

  • All messages sent through the Platform may be logged, retained, and disclosed as required for dispute resolution, compliance, or legal process;
  • You will not send unlawful, defamatory, harassing, discriminatory, or malicious communications;
  • TriLink may send service, transactional, and compliance-related notifications by email, SMS, push notification, or in-platform message;
  • Marketing communications require your explicit consent and may be withdrawn at any time from your account settings.

18. Integrations, API & Webhooks

TriLink may offer APIs, webhooks, SDKs, and third-party integrations. Access is subject to separate API terms and acceptable use policies. You must:

  • Use APIs only for legitimate business purposes connected to your Platform account;
  • Not scrape, crawl, reverse-engineer, or attempt to gain unauthorised access to the Platform or its infrastructure;
  • Respect rate limits and data-use restrictions;
  • Be responsible for the security of your API keys, webhook endpoints, and integrated systems.

TriLink may change, deprecate, or remove API features with reasonable notice.

19. Intellectual Property

TriLink and its licensors own all rights, title, and interest in and to the Platform, including software, designs, trademarks, logos, documentation, and AI models. Nothing in these Terms grants you any licence to our intellectual property except as necessary to use the Platform in accordance with these Terms.

You retain ownership of content you upload, including product descriptions, documents, and logos. By uploading content, you grant TriLink a worldwide, royalty-free, sublicensable licence to use, display, reproduce, and process that content solely to operate, improve, and promote the Platform and to comply with legal obligations.

20. Data Protection & Privacy

Personal data is processed in accordance with our Privacy Policy and Data Processing Agreement, and where applicable, UAE Federal Decree-Law No. 45 of 2021 (PDPL), GDPR, and other relevant data-protection frameworks. You must ensure that you have provided any required notices and obtained any required consents before uploading Personal Data of your employees, beneficial owners, or third parties to the Platform.

21. Confidentiality

Users may exchange confidential or proprietary information through the Platform, including pricing, technical specifications, and contractual terms. Receiving parties must keep such information confidential and use it solely for the purpose of evaluating or performing the relevant transaction, unless disclosure is required by law or authorised by the disclosing party.

22. Limitation of Liability

TriLink provides the Platform on an "as is" and "as available" basis. To the maximum extent permitted by law:

  • TriLink is not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to the Platform or any transaction between Users;
  • TriLink's total aggregate liability for any claim relating to the Platform shall not exceed the total Platform fees paid by you in the twelve (12) months preceding the claim, or AED 10,000, whichever is greater;
  • TriLink is not responsible for the acts, omissions, breaches, or insolvency of any User, Supplier, Service Provider, payment processor, logistics provider, or other third party.

Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury, or any liability that cannot be excluded under applicable law.

23. Termination & Suspension

You may terminate your account at any time through your account settings or by contacting support. TriLink may suspend or terminate your access if you breach these Terms, if required by law, if your account is inactive for an extended period, or if we reasonably believe continued access poses a legal, security, or reputational risk.

Upon termination, your access to the Platform will cease, but provisions relating to confidentiality, intellectual property, liability, dispute resolution, and accrued obligations will survive. Data retention will follow the periods described in our Privacy Policy and applicable law.

24. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, UAE and the language of arbitration shall be English.

For Users located in or contracting through the Dubai International Financial Centre (DIFC) or Abu Dhabi Global Market (ADGM), the relevant common-law framework and dispute-resolution mechanism of that financial free zone may apply to the extent expressly agreed in writing between the parties.

25. Changes to Terms

TriLink reserves the right to modify these Terms at any time. Material changes will be communicated by email and through an in-platform notification at least thirty (30) days before taking effect, unless a shorter period is required by law or to address an urgent security or compliance issue. Continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the changes.
